1. Acceptance of Terms

These Terms of Use (“Terms”) govern your access to and use of the SanoPrime website at sanoprime.com (the “Site”), operated by SanoPrime, Inc. (“SanoPrime,” “we,” “us,” or “our”). By accessing or using the Site, including by submitting an application through any form on the Site, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Site.

2. Eligibility

The Site is intended for use by individuals who are at least 18 years of age. By using the Site, you represent and warrant that you are 18 or older. If you are submitting an application on behalf of a business or other entity, you further represent and warrant that you have the authority to bind that entity to these Terms.

The Site is intended for users located in the United States. We make no representation that the Site is appropriate or available for use in other locations.

3. Application Submissions

The Site allows you to submit an application expressing interest in SanoPrime’s round one founding partner program. By submitting an application, you:

(a) represent that all information you provide is true, accurate, current, and complete;

(b) acknowledge that submitting an application does not create any contract, partnership, employment, agency, or other relationship between you and SanoPrime, and does not obligate SanoPrime to accept your application, respond within any particular timeframe, or offer you any role, product, service, benefit, or position;

(c) grant SanoPrime permission to review your application, contact you using the contact information you provide, and retain your application materials for our internal records; and

(d) acknowledge that any acceptance into the founding partner program will be governed by a separate written agreement, and that nothing on the Site or in any communication relating to your application constitutes such an agreement until it is signed by both parties.

SanoPrime may decline to accept any application, in our sole discretion, for any reason or no reason.

4. Permitted Use

You may access and use the Site for lawful, non-commercial purposes related to learning about SanoPrime and applying to the founding partner program. You agree not to:

(a) use the Site in any way that violates any applicable federal, state, local, or international law or regulation;

(b) use the Site to transmit, distribute, or facilitate the distribution of any content that is unlawful, harassing, defamatory, obscene, or infringing on the rights of any third party;

(c) attempt to gain unauthorized access to the Site, the servers on which the Site is hosted, or any related systems or networks;

(d) use any automated means — including bots, scrapers, crawlers, or data-mining tools — to access, monitor, copy, or extract any part of the Site, except for search-engine crawlers operating in accordance with the Site’s robots.txt file;

(e) interfere with, disrupt, or attempt to disrupt the operation of the Site, including by introducing viruses, malware, or other harmful code;

(f) reverse engineer, decompile, or attempt to derive the source code of any part of the Site or any underlying software, except to the extent such restriction is prohibited by applicable law; or

(g) use the Site to compete with SanoPrime, to develop a competing product or service, or to collect information about SanoPrime’s business for competitive purposes.

5. Intellectual Property

The Site and all content, features, and functionality on it — including text, graphics, logos, images, software, designs, layouts, and the selection and arrangement of all of the foregoing — are owned by SanoPrime, its licensors, or other providers, and are protected by United States and international copyright, trademark, trade dress, patent, trade secret, and other intellectual property laws.

“SanoPrime,” the SanoPrime logo, and any related names, logos, product and service names, designs, and slogans are trademarks of SanoPrime, Inc. You may not use any of these marks without our prior written permission.

Nothing on the Site grants you, by implication, estoppel, or otherwise, any license or right to use any of SanoPrime’s intellectual property, except for the limited right to access and view the Site in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Site without our prior written permission.

6. No Professional, Medical, or Legal Advice

The Site is provided for general informational purposes only. Nothing on the Site is intended to be, and should not be construed as, medical, healthcare, legal, financial, tax, regulatory, or other professional advice. The Site does not provide medical services, diagnose conditions, recommend treatments, prescribe medications, or establish a physician-patient relationship.

Cannabis remains a Schedule I controlled substance under United States federal law. Information on the Site about cannabis or cannabis-related products is provided for general informational purposes only and is not a recommendation to use, purchase, or possess cannabis. Cannabis laws vary by state and locality, and it is your responsibility to understand and comply with the laws applicable to you.

Your use of any third-party website or service is at your own risk and subject to that third party’s terms and policies.

The Site may also rely on third-party service providers to operate — including, without limitation, hosting providers, email delivery services, and analytics providers. SanoPrime is not responsible for the acts, omissions, or service interruptions of any third party.

8. Disclaimers

THE SITE AND ALL CONTENT, MATERIALS, AND INFORMATION ON THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANOPRIME DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, SANOPRIME DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT ANY CONTENT ON THE SITE IS ACCURATE, COMPLETE, OR CURRENT; THAT ANY APPLICATION SUBMITTED THROUGH THE SITE WILL BE RECEIVED, REVIEWED, OR RESPONDED TO; OR THAT THE SITE OR ANY SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. ACCORDINGLY, SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SANOPRIME, ITS AFFILIATES, OR ITS OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, GOODWILL, OR REPUTATION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF — OR INABILITY TO USE — THE SITE, EVEN IF SANOPRIME HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SANOPRIME’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless SanoPrime, its affiliates, and its and their respective officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to:

(a) your access to or use of the Site;

(b) any information you submit through the Site, including any application materials;

(c) your violation of these Terms;

(d) your violation of any applicable law or regulation; or

(e) your infringement of any third party’s intellectual property, privacy, or other rights.

SanoPrime reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with SanoPrime’s defense of such claim. You agree not to settle any matter subject to indemnification without SanoPrime’s prior written consent.

11. Governing Law and Disputes

These Terms and any dispute arising out of or relating to these Terms or your use of the Site shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles.

You and SanoPrime agree that any action, suit, or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in New Castle County, Delaware, and you and SanoPrime each consent to the personal jurisdiction of those courts and waive any objection to venue in those courts.

To the fullest extent permitted by applicable law, you and SanoPrime each waive any right to a trial by jury in any action, suit, or proceeding arising out of or relating to these Terms or your use of the Site.

12. Changes to These Terms

SanoPrime reserves the right, in our sole discretion, to modify these Terms at any time. If we make material changes, we will update the “Last Updated” date at the top of these Terms and may provide additional notice, such as by posting a notice on the Site. Your continued use of the Site after any changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site.
